MediaNEST Terms of Use and License Agreement.

These terms apply to the MediaNEST website, demo, installer, Pro activation, and Windows desktop software.

These Terms of Use and License Agreement ("Agreement") govern your use of MediaNEST ("Software," "App," "we," "our," or "us"). By installing, activating, accessing, or using MediaNEST, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. Software Description

MediaNEST is a desktop media management application designed to help users organize, browse, view, and manage local media files, including photos, videos, and music stored on the user's computer or selected storage locations.

MediaNEST does not provide media content. Users are responsible for the media files they add, organize, view, play, copy, move, delete, rename, or otherwise manage through the Software.

2. Demo Mode and Paid Version

MediaNEST may be used in demo mode before purchase.

Demo mode provides limited access only. Certain features may be locked, restricted, disabled, or unavailable unless a valid paid license is purchased and activated.

A paid license unlocks full access to the features included with the purchased version of MediaNEST.

MediaNEST may display demo notices, license notices, activation prompts, or other messages while the Software is being used in demo mode.

We may change, limit, discontinue, or modify demo mode at any time.

3. License Grant

Subject to your compliance with this Agreement and payment of any applicable fees, you are granted a limited, non-exclusive, non-transferable, revocable license to install and use MediaNEST.

This license allows the original purchaser to use MediaNEST on the number of devices permitted by the purchased license.

This license does not transfer ownership of the Software to you. MediaNEST remains the property of its developer, publisher, or rights holder.

Your license is for your own use only. It may not be sold, shared, rented, leased, sublicensed, gifted, distributed, or transferred to another person, business, account, or organization.

4. Device Activation and License Transfer

A paid MediaNEST license may be activated on the number of devices allowed by the purchased license.

Users may remove, deactivate, or unlink their license from one device and transfer activation to another device owned or controlled by the same licensed user.

License transfer is allowed only for the original purchaser's own use. It does not allow the license to be shared, sold, gifted, resold, leased, rented, assigned, or transferred to another person, company, account, or organization.

We may limit the number or frequency of license transfers to prevent abuse, unauthorized sharing, piracy, suspicious activity, or license misuse.

If a device is lost, replaced, damaged, reset, or no longer accessible, the user may contact MediaNEST support for help deactivating the old device, subject to verification of the original purchase.

5. Activation and License Validation

MediaNEST may require activation using a license key, purchase email, account login, device identifier, or another validation method.

Until a valid paid license is activated, MediaNEST will operate only in demo mode. Demo mode does not provide full access to all features.

After purchase and activation, the paid version unlocks full access to the features included with the purchased license.

MediaNEST may verify license status when necessary to confirm valid use. This may include checking whether the license is active, expired, refunded, revoked, duplicated, deactivated, or used beyond the allowed number of active devices.

If MediaNEST cannot validate a license, or if the license is no longer valid, the Software may return to demo mode, disable paid features, display notices, or prevent access to full-version functionality.

6. License Restrictions

You may not:

  • Copy, resell, rent, lease, sublicense, distribute, gift, share, or transfer MediaNEST to another person, business, account, or organization.
  • Share your license key, activation code, purchase email, account access, or other activation credentials.
  • Modify, reverse engineer, decompile, disassemble, bypass, crack, tamper with, or attempt to defeat any activation, license, security, or protection system.
  • Use MediaNEST to violate copyright law, privacy rights, intellectual property rights, or any applicable law.
  • Remove, alter, or obscure any branding, copyright notice, license notice, watermark, developer credit, or ownership notice.
  • Use the Software in a way that could damage, disable, overload, or impair the Software, licensing system, website, server, or related services.
  • Use the Software or license in a way intended to avoid payment, bypass demo limitations, unlock paid features without authorization, or enable unauthorized access.

Any unauthorized use may result in license termination, license deactivation, return to demo mode, or denial of support without refund.

7. Payments and Refunds

Paid licenses must be purchased through an approved payment provider, website, store, marketplace, or authorized sales channel.

All payments, taxes, fees, chargebacks, and refunds may be handled by the payment processor or platform used at the time of purchase.

Refund eligibility, if offered, may depend on the sales platform, payment provider, product version, license status, download status, activation status, and applicable law.

Refunded, reversed, disputed, or chargeback purchases may result in license deactivation or return to demo mode.

8. Updates and Changes

We may provide updates, patches, bug fixes, performance improvements, or new features.

Some updates may be required for continued use, compatibility, security, licensing, or activation validation.

We are not required to provide updates forever. Features may be changed, added, removed, renamed, limited, or discontinued over time.

9. User Media and File Responsibility

MediaNEST works with files selected by the user. You are solely responsible for your files, folders, storage devices, libraries, backups, and media content.

You understand that file operations such as deleting, moving, renaming, editing, importing, exporting, categorizing, or reorganizing files may affect your media library.

You should keep backups of important files before using any media management software.

MediaNEST is not responsible for lost, deleted, corrupted, misplaced, overwritten, renamed, moved, duplicated, or inaccessible files.

10. Third-Party Components and Media Playback

MediaNEST may rely on operating system features, codecs, external players, media libraries, casting features, or third-party components for certain playback or media functions.

Some media files may not play correctly due to unsupported codecs, file corruption, DRM protection, missing system components, unsupported formats, casting device limitations, network issues, or hardware compatibility.

We do not guarantee that every photo, video, music file, codec, container, subtitle format, or casting device will be supported.

11. Casting and Device Compatibility

If MediaNEST includes casting or TV playback features, casting performance may depend on your network, TV, streaming device, media format, codec, resolution, bitrate, subtitle format, device firmware, and supported playback standards.

If a file does not play through casting, it may still play locally on your computer. Casting compatibility is not guaranteed for every file or device.

12. Copyright and Lawful Use

You agree to use MediaNEST only with media files you own, created, licensed, or are legally allowed to access and manage.

MediaNEST must not be used to organize, distribute, copy, share, or manage copyrighted content in violation of law.

You are responsible for complying with all copyright, privacy, intellectual property, and data protection laws that apply to your media.

13. Privacy

MediaNEST is designed primarily to manage local media files. However, certain features may require internet access, including license activation, update checks, payment validation, support, crash reporting, or online services.

Information used for license validation may include your license key, purchase email, device information, activation status, software version, and related technical data.

We do not claim ownership of your media files.

A separate Privacy Policy may provide more details about what information is collected, stored, or transmitted.

14. Ownership and Intellectual Property

MediaNEST, including its name, logo, design, interface, code, features, graphics, icons, text, documentation, branding, and related materials, is owned by its developer or rights holder.

You receive only a license to use the Software. You do not receive ownership rights, source code rights, resale rights, redistribution rights, or rights to create derivative versions.

15. No Warranty

MediaNEST is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

We do not guarantee that the Software will be error-free, uninterrupted, secure, compatible with every system, compatible with every media file, or suitable for your specific purpose.

To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability.

16. Limitation of Liability

To the maximum extent permitted by law, MediaNEST and its developer, publisher, owners, affiliates, partners, or service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages.

This includes, but is not limited to, loss of media files, loss of data, lost profits, lost revenue, business interruption, device issues, playback failure, software conflicts, activation issues, license validation issues, casting failure, or damages resulting from your use or inability to use the Software.

Your sole remedy for dissatisfaction with MediaNEST is to stop using the Software.

17. Termination

This Agreement remains in effect until terminated.

Your license may be terminated, suspended, revoked, deactivated, or returned to demo mode if you violate this Agreement, misuse the Software, share your license, resell your license, attempt to bypass activation, tamper with license validation, dispute or reverse payment, or use the Software unlawfully.

Upon termination, you must stop using the paid version of MediaNEST. The Software may continue to operate in demo mode unless access is fully disabled due to abuse, tampering, fraud, piracy, or unlawful use.

18. Support

Support may be provided through email, website, documentation, or other channels, if available.

We are not required to provide unlimited support, custom development, device troubleshooting, media repair, codec installation, file recovery, or support for unsupported systems.

Support may require proof of purchase, license verification, software version information, device information, or other details needed to troubleshoot the issue.

19. System Requirements

MediaNEST may require a compatible version of Windows, sufficient storage, supported hardware, proper permissions, and required system components.

Some features may require internet access, media codecs, supported playback components, local network access, or compatible casting devices.

System requirements may change over time.

20. Changes to This Agreement

We may update this Agreement from time to time. Updated terms may be posted on our website, included with the Software, provided during an update, or otherwise made available.

Continued use of MediaNEST after changes means you accept the updated Agreement.

21. Governing Law

This Agreement shall be governed by the laws of the State of Louisiana, United States, without regard to conflict of law principles, unless otherwise required by applicable law.

Third-party components

Bundled open-source tools

MediaNEST includes separate open-source components for playback, thumbnails, casting support, and conversion. These projects are not affiliated with, endorsed by, or sponsored by MediaNEST.

LGPL and source notices

The MediaNEST installer includes license files and notices for bundled third-party components, including LGPL license information for relevant MPV and FFmpeg builds. Where open-source licenses grant rights to inspect, modify, or replace those separate components, nothing in the MediaNEST license is intended to restrict those rights.
